Contract Drafting Questions

Why do I need a bilingual contract? Can't I just use an English one?
An English-only contract is enforceable in Chinese courts in theory, but in practice it creates enormous problems. Judges work in Chinese, evidence must be translated and notarized, and ambiguous English terms get interpreted against you. A bilingual contract with Chinese as the controlling language eliminates these issues — and signals to the supplier that you're serious about enforcement.
What's an NNN agreement and why do I need one?
NNN stands for Non-disclosure, Non-use, Non-circumvention. It prevents the factory from sharing your designs, using your designs to make products for others, or bypassing you to sell directly to your customers. Standard NDAs are nearly useless in China — NNN agreements are specifically designed for the Chinese legal system.
The supplier already sent me a PI. Isn't that a contract?
A proforma invoice is a commercial document, not a legal contract. It lists what you're buying and the price, but it typically lacks enforceable quality standards, penalty clauses, jurisdiction provisions, and IP protections. We can embed contract language into your existing PI to make it legally enforceable — that's Tier 2.
Can I use a contract template I found online?
You can, but most online templates are written for US or European law and won't hold up in Chinese courts. Chinese contract law has specific requirements for validity — including who signs, how the company chop is applied, and what dispute resolution clauses are enforceable. A template that works in New York can be worthless in Shenzhen.
Do you coordinate signing with the supplier?
For Tiers 1-2, you manage the signing process — we provide the document and instructions. For Tiers 3-4, we can coordinate chop verification and signing logistics as part of the service. If you need us to negotiate contract terms directly with the supplier, that's available as an hourly add-on at $250/hour.
